ATTENTION: READ THIS LICENSE CAREFULLY BEFORE USING THIS ON-LINE PROGRAM. IT DEFINES WHAT YOU CAN AND CAN NOT DO WITH THE PROGRAM AND ALSO CONTAINS LIMITATIONS ON WARRANTIES AND/OR REMEDIES.

LICENSE: TOTAL TRUCKING MANAGEMENT LTD. (TTML) grants you the "Customer" a license to use the IRP Fee Calc program, databases, all information and related written materials on its website, (The "Program") in accordance with the terms of this License. The Customer may use the Program on a single computer solely for its own internal data processing operations necessary for the calculation of prorate fees. The Customer shall not: (a) cause or permit the translation, reverse engineering, decompiling, or disassembling of the Program except to the extent the foregoing restriction may be expressly prohibited by applicable law; (b) rent, lease, assign, transfer, or otherwise convey the Program to any third party; (c) modify the Program or merge all or any part of the Program with another program; or (d) remove any product identification, copyright notices, or other notices or proprietary restrictions from the Program.

COPYRIGHT/OWNERSHIP OF PROGRAMS: The Program is the proprietary product of TTML and is protected by copyright and other intellectual property laws. Customer does not acquire any rights, express or implied, in the Program or media containing Programs other than those specified in his License, TTML, or its licensor, shall at all times retain all rights, title, interest, including intellectual property rights, in the Program and media.

LIMITATIONS OF WARRANTIES: this program and the media it is provided on an "as is" basis, without any other warranties or conditions, express or implied, including, but not limited to, warranties of merchantable quality, satisfactory quality, merchantability or fitness for a particular purpose, or those arising by law, statute, usage of trade, or course of dealing, the entire risk as to the results and performance of the program is assumed by you. TTML does not warrant that the program will be uninterrupted or error-free.

LIMITATIONS OF LIABILITY: neither TTML nor its dealers or licensors shall have any liability to the customer or any other person or entity for any indirect, incidental, special, or consequential damages whatsoever, including, but not limited to, loss of revenue or profit, lost or damaged data or other commercial or economic loss, whether in contract or tort, even if TTML has been advised of the possibility of such damages, or they are foreseeable. TTML is also not responsible for claims by a third party. The limitations set forth herein shall apply whether or not the alleged breach or default is a breach of a fundamental condition or term or a fundamental breach of this license.

GOVERNING LAW: This License and all related actions thereto shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada. If any provision of this License is declared by a Court of competent jurisdiction to be invalid, illegal, or unenforceable, such a provision shall be severed from the License and the other provisions shall remain in full force and effect.

EXPORT RESTRICTIONS: The Customer shall comply fully with all laws and regulations of Canada, and of other countries ("Export Laws") to assure that neither the Program, nor any direct products thereof are (1) exported, directly or indirectly, in violation of Export Laws, or (2) are used for any purpose prohibited by Export Laws, including, without limitation, nuclear, chemical, or biological weapons proliferation.

IRREVOCABLE ACCEPTANCE: By purchasing the Program the Customer certifies that it has read, understood and has agreed to comply and be bound by terms and conditions of this License. Installation of and/or use of this Program constitutes an irrevocable acceptance of the terms and conditions of this License.

REFUND POLICY: A full refund (less a $25.00 administration fee) will be given on Plans B & C if the purchaser contacts TTML within seven (7) days of purchase of the program. There is no refund available on Plan A.
